Terms and Conditions for Next Gen LIVE AGENCY

1. Introduction

• These Terms and Conditions (“Terms”) govern your relationship with Next Gen LIVE AGENCY (“Agency,” “we,” “us”), a UAE-based Creator agency specialising in live streaming services.
• By registering as a Creator (“Creator,” “you”) or using our services, you agree to comply with these Terms and all applicable UAE laws.

2. Definitions

• “Services”: Creator representation, brand deal facilitation, and career management.
• “Content”: Live streams, videos, images, or other materials created by Creator.
• “Platforms”: Third-party services (e.g. Instagram, TikTok) where Creator broadcasts.

3. Registration and Eligibility

• Creator must:
  • Be at least 18 years old (or 16+ with parental consent).
  • Provide accurate information during registration and update it promptly.
  • Verify identity per UAE laws.
• We reserve the right to reject applications at our discretion.

4. Agency Services

We agree to:

• Negotiate brand deals, sponsorships, and collaborations on your behalf.
• Provide career guidance and marketing support.
• Manage payment processing for deals we facilitate.
• Exclusivity: If agreed in writing, Creator may grant the Agency exclusive rights to negotiate deals.

5. Creator Obligations

You agree to:

• Create original Content that complies with:
  • UAE law (e.g., no hate speech, illegal material, or infringement under the Copyright, Designs and UAE Laws).
  • Platform rules and community guidelines.
• Inform the Agency of all revenue streams related to your streaming activities.
• Avoid conflicts of interest (e.g., undisclosed competing deals).

6. Compensation & Payments

• Commission: Agency retains 10% to 50% of gross earnings from deals we facilitate.
• Payment Schedule: Earnings paid within 30 days of Agency receiving cleared funds.
• Records: We provide monthly statements; disputes must be raised within 14 days.

7. Intellectual Property

• Creator retains ownership of original Content.
• For Agency-negotiated deals, Creator grants brands a limited license to use Content solely for the campaign’s duration.
• Agency may use Creator’s name/logo for promotional purposes.

8. Data Protection (UAE GDPR/Data Protection UAE Federal Decree Law No. 45 of 2021 on the Protection of Personal Data (PDPL))

• We process personal data per our Privacy Policy.
• Creator consents to data sharing with brands for deal negotiations.
• Data retention: Up to 6 years post-termination to comply with UAE accounting laws.

9. Termination

• By Creator: 30 days’ written notice.
• By Agency: Immediate termination for:
  • Breach of UAE law or these Terms.
  • Fraud, misconduct, or reputational harm.
• Post-termination: Agency retains commission from deals secured during the contract term.

10. Liability & Disclaimers

• We are not liable for:
  • Creator’s Content or actions on Platforms.
  • Losses from third-party services (e.g., platform bans).
• Maximum Liability: Limited to fees paid to Agency in the prior 6 months.
• Creator indemnifies the Agency against claims arising from their Content.

11. Governing Law & Disputes

• These Terms are governed by UAE law.
• Disputes will be resolved in UAE courts or via mediation (if agreed).

12. Miscellaneous

• Amendments: Changes require 30 days’ email notice.
• Force Majeure: Not liable for delays beyond reasonable control (e.g., pandemics, cyberattacks).
• Assignment: Creator may not transfer rights; Agency may assign to affiliates.
• Waiver: Failure to enforce a clause is not a waiver.
